Profile on Truth Consulting and Research Center for Constructing the Board of Directors with Chinese Characteristics
If expecting to create a first class enterprise, a company has to adopt first-class corporate governance and if expecting to become a great company, a company has to build a great board of directors. Currently, Chinese companies are moving forward towards a modern enterprise system. As the SASAC of the State Council has vigorously promoted the pilot program on the board of directors of the CSOEs (central state-owned enterprises) since 2004, particularly SOEs’ (state-owned enterprises) practice and exploration in improving their corporate governance structures and building and standardizing the boards of directors are in its full swing. However, the technology can be transplanted, but management is difficult to be purchased. The Chinese enterprises still need to construct their boards of directors with Chinese characteristics if the Chinese enterprises want to become more excellent, bigger and better, making their corporate governance more suitable to china’s actual national conditions, political system and enterprises’ status.
Truth Consulting and Research Center for Constructing the Board of Directors with Chinese Characteristics (abbreviated as the Center in the following ) is a professional and authoritative consultancy and research organization who is dedicated itself to exploring the construction of the board of directors with Chinese characteristics, enhancing the corporate governance of the Chinese enterprises and strengthening the competitiveness of the national economy. In addition to offering a large amount of consulting, research and design proposals related to constructing the board of directors and optimizing the governance mechanism for the SASAC of the State Council and its CSOEs, the SASAC of the local provinces and its SOEs, the Truth Consulting and Research Center has meanwhile made due contributions to the reform of the state-owned assets and SOEs for many years.
The Center was initially founded by AN Lin with a Ph.D. in Management as a chief advisor, who is widely recognized as the experts for state-owned assets management, SOE reform and corporate governance consulting in China. The center stands firmly on the actual Chinese local conditions and views the best practices throughout the whole world. The center has explored a series of new systems for the corporate governance and construction of board of directors with Chinese characteristics by careful studying and providing reasonable solutions to many problems featured by the political sensitivity, institutional complexity, and difficulty in the management and challenging for implementation facing the Chinese enterprises, particularly SOEs when these enterprises conducted the corporate governance structure and the construction of board of directors.

Commissioned by Office for the Pilot Work of the Board of Directors of SASAC, the Center was hornored to be the fist organization who systematically translated the Articles of Association of SINGAPORE Temasek Holdings (Private) Limited. The Proposal for the Mechanism for Operating the Pilot Board of Directors and Articles of Association of Xinxing Cathay International Group designed for the first batch of CSOEs who was required to conduct the pilot project of the bord of directors was approved as a sample to study for the CSOEs and SOEs of the local provinces in 2005. The Center firstly come up with the concept of the professional chairman of board of directors and carrying out the related system in the book named Research on Qualified Allocation for being Chairman, General Manager, and Secretary of CPC Committee of Central SOEs in 2006. The Center published in 2007 the first guidebook in the nation for Constructing the Board of Directors with Chinese Characteristics: Guidebook for the Governance of Board of Directors of China’s SOEs (highly recommended with their Prefaces from SHAO Ning, Vice Chairman with SASAC the State Council, DENG Ronglin, Economics, PH.D Supervisor, Professor from Renmin University of China as well as LIU Mingzhong, Chairman of the CSOE-Xinxing Ductile Iron Pipes Group ) and in 2011 another powerful masterpiece in this area- Constructing the Board of Directors with Chinese Characteristics: Reading Classics for State Assets Management and SOE Governance in the New Period.
The center has been determined to explore and seek for its differentiation and characteristics by facing the current reality, and rationally thinking and basing solidly on the Chinese national situations. And the center will make its contributions to promoting the soft power in the management level of the chiese enterprises and revigorating the national economy by devoting itself to being the influential and credible organization for exploring the theories and practices related to the construction of board of directors with chinese characteristics in the nation.
