Training Background
The main content and core of a modern enterprise system of company is to improve its corporate governance structure, of which a board of directors occupies very important status and exerts very important effects. It is not only a requirement for carrying out the spirit of the Central Committee of our Party and deepening the state-owned reform but also the real needs in solving the problems existed in the current system of SOEs to push forward the construction of standardizing the board of directors of central SOEs. Although some SOEs and state-owned holding company has built their board of directors, members from the board of directors, the management and party committee are highly overlapped. Actually the “number one leader” responsibility system still exists, despite the huge risks behind the system.
Large amount of experiences have demonstrated that building an experienced and diligent and responsible team composed of directors will greatly give impetus to the effective effects the board of directors will be exerting. Because the team building are not only a key measure for depending the reform of state-owned enterprises and improving the corporate governance structure, but the demands for being adapted to new state-owned assets management system and standardizing the realization of the investors’ interests and powers.

The Characteristics of the Training Programs
 The main content and core of a modern enterprise system of company is to improve its corporate governance structure, of which a board of directors occupies very important status and exerts very important effects. It is not only a requirement for carrying out the spirit of the Central Committee of our Party and deepening the state-owned reform but also the real needs in solving the problems existed in the current system of SOEs to push forward the construction of standardizing the board of directors of central SOEs. Since the SASAC of the State Council proposed the Opinions on the Establishment and Improvement of the Pilot Board of Directors of Wholly State-owned Companies Owned by Central SOEs in 2004, the trial wok has accomplished the remarkable results. Some enterprises still register and operate in accordance with the company law, but some problems about the unregulated governance still exist as a result of general manager responsibility system.
 
With the implementation of the new corporate law and securities law in China and gradually diversified equity ownership structure, board of directors and supervisors are given more rights and powers. To make board of directors and supervisors the decision-making and surveillance control center of a company is not only conducive to establishing the standardized corporate governance structure, but also in conformity with the fundamental interests of shareholders of a company. The evidence indicates that their functional departments operated very smoothly with sound business performance in those companies with relatively perfect governance structure of board of directors and supervisors, whereas in those with the imperfect governance structure, their functional departments operated in a disorderly manner with limited and even ever-worsening increase in the profits.
